Teacher Agreement

Effective date: May 2026

This Teacher Agreement is between you (Teacher) and OrderToAI LLC, a Texas limited liability company operating as Diraasa. It applies in addition to the Diraasa Terms of Service. If anything in this Agreement conflicts with the Terms of Service, this Agreement controls for your activity as a Teacher. By completing teacher onboarding and clicking “I accept” you agree to this Agreement.

1. Independent contractor status

You are an independent contractor. You are not an employee, agent, partner, or representative of Diraasa, and nothing in this Agreement creates such a relationship. You set your own rates within the platform’s ranges, choose your own availability, decide how to teach each class within platform policies, and provide your own equipment. You are responsible for your own taxes, social security contributions, business registration, and any benefits or insurance. Diraasa does not withhold taxes from your payouts and does not provide paid leave, sick leave, healthcare, retirement benefits, or any other employment benefits. You may teach for other platforms, run your own business, or take any other work that does not violate Section 4.

Tax obligations. If you are a US person, Diraasa will issue a Form 1099-NEC each year you earn 600 USD or more. You complete a Form W-9 at onboarding. If you are a non-US person, you complete a Form W-8BEN (or W-8BEN-E for entities). Income earned by a non-US person for services performed outside the United States is generally not subject to US income tax or US withholding. You remain solely responsible for income tax in your country of residence.

Payout rails. Diraasa pays Stripe-supported Teachers through Stripe Connect Express. You agree to the Stripe Connect Service Agreement and the Stripe Services Agreement. Stripe is the regulated money transmitter for that rail; Diraasa is not a money transmitter or bank. Stripe Connect Teachers manage their bank account on Stripe’s hosted Express dashboard, and those bank details never touch Diraasa servers. Teachers in countries Stripe Connect does not support are paid through Wise on the terms in Section 6a; for those Teachers, Diraasa stores encrypted bank details (IBAN or account number, IFSC or SWIFT/BIC, country, currency, and tax identifier) at rest using AES-256-GCM. Teachers in countries served by neither rail are added to a waitlist until support arrives.

2. Identity verification and qualification

You must complete Stripe Identity verification before you can teach. Your profile must be accurate. Misrepresentation of qualifications, certificates, ijazah, sanad, experience, or identity is grounds for immediate and permanent ban and forfeiture of pending earnings. You must submit a YouTube video link demonstrating your teaching style and recitation. The video must be your own, current within the past 12 months, and free of personal contact information, competing platform branding, or external links. After your first three classes, Diraasa may compare the voice in your profile video to the voice in your class audio using Azure Speaker Recognition. We store only the comparison score, not your voiceprint. We may ask you to re-verify identity, qualifications, or recitation at any time. Refusal to re-verify within 30 days results in deactivation.

3. Class delivery obligations

  • You must join the classroom at least one minute before the scheduled start time.
  • A no-show counts as two cancellations against your quality metrics.
  • Cancellation rates above 30 percent in any 30 day window result in search demotion. Above 40 percent triggers suspension pending review.
  • You agree to follow the Acceptable Use Policy.
  • You agree to follow the Safeguarding & Child Protection Policy for every class with a minor.
  • You will dress modestly and present yourself professionally.
  • You will teach from a quiet, well lit, private location free of inappropriate background content.
  • You will not consume alcohol, smoke, or be under the influence of any substance during a class.

Transcription consent. You consent to every class being audio transcribed in real time for safety, quality, and dispute resolution. Transcripts are accessible to the parties of the class, to Diraasa moderators, and to law enforcement when legally compelled. You waive any objection to the use of transcripts as evidence in any subsequent dispute.

Religious authority. You will not represent that Diraasa endorses any specific madhab, qiraa’ah, scholarly school, or religious authority. Diraasa is a marketplace and does not take theological positions.

4. Non-circumvention and non-solicitation

For so long as you have an active Teacher account, and for 12 months after your last class on the platform, you will not: exchange or solicit personal contact information with any student, parent, or child you met through the platform; arrange or accept payment for tutoring, classes, or related services from any user you met through the platform outside of the platform; direct, encourage, or assist any user to leave the platform for the purpose of continuing the relationship elsewhere.

Diraasa monitors messages, class transcripts, profile content, uploaded materials, and reviews for circumvention attempts. You consent to this monitoring as a condition of using the platform.

Penalty. Violation results in immediate suspension or permanent ban at Diraasa’s discretion; forfeiture of all pending payouts (retained as liquidated damages); a reasonable estimate of off-platform earnings that should have flowed through Diraasa, billed to you as damages. The platform fee on those off-platform earnings is a reasonable estimate of damages and is not a penalty. Diraasa may seek injunctive relief in addition to damages.

You will not solicit other Diraasa Teachers to leave the platform for any competing platform or off-platform arrangement.

5. Intellectual property

Materials you create (lesson plans, slides, handouts, audio, exercises) remain your property. You grant Diraasa a worldwide, royalty-free, non-exclusive license to host, store, transmit, transcribe, display, and moderate your materials for the purpose of operating the platform. This license terminates when you delete the materials or close your account, except that we may retain copies as required by law or for dispute resolution. When you provide materials to a student in the course of a class, you grant that student a personal, non-transferable license to use them for their own learning. You will not use the Diraasa name, logo, or the Arabic mark دِراسة except as we expressly permit.

6. Payments

Diraasa adds a service fee on top of your hourly rate, paid by the student at checkout, which covers payment processing, the live video room, and your payout. Your earnings on a completed class equal your full hourly rate. Stripe-supported Teachers receive earnings into their Stripe Connect Express account after the applicable hold period (typically 48 hours after class completion). Teachers in non-Stripe countries are paid via Wise on the terms in Section 6a. Teachers in countries served by neither rail are added to a waitlist until support arrives. Minimum payout is 30 USD. If a class is refunded under the Refund & Cancellation Policy, the corresponding portion of your earnings is reversed. If a student initiates a chargeback, Diraasa may withhold the disputed amount pending resolution. Diraasa may adjust the service fee with 30 days’ notice. Continuing to teach after the adjustment takes effect constitutes acceptance.

6a. Payouts via Wise (for teachers in non-Stripe-supported countries)

For teachers whose country is not supported by Stripe Connect (currently including Egypt, Pakistan, India, and other countries Diraasa adds over time), Diraasa pays earnings via Wise (operated by Wise Payments Limited, FCA-regulated). The following terms apply to all Wise-rail payouts:

  • Currency. Your earnings are calculated and displayed in US Dollars. We send payouts in your local currency at Wise’s mid-market exchange rate at the time the transfer is converted, minus Wise’s fee (which Diraasa pays). You bear the risk of exchange rate movements between when you earn and when we pay.
  • Fees. Diraasa absorbs all Wise transfer fees. You receive the full earned amount net of foreign-exchange conversion (no Diraasa or Wise commission deducted from your share).
  • Withdrawals. Payouts are not automatic. You may request a withdrawal once your available balance reaches the minimum of $100 USD equivalent; earnings below the minimum stay in your balance until you reach it. Money typically arrives in your bank within 5-10 business days; expect longer around major holidays (Eid al-Fitr, Eid al-Adha, Diwali, Pakistan Day, Independence Day, etc.).
  • First-payout review. Your first payout to any new bank account is reviewed by Diraasa staff before being sent. This may add up to 24 hours to the first payout. Subsequent payouts to the same account are processed without review.
  • Bank-detail accuracy is your responsibility. You enter your own bank details (account holder name, IBAN or account number, IFSC code, SWIFT/BIC, etc.) during onboarding or in your account settings. You are solely responsible for the accuracy of these details. If anything is incorrect (wrong digit, wrong name, wrong bank), the transfer may fail, be delayed, or be sent to the wrong account. Diraasa is not responsible for funds lost due to incorrect details you submitted. You can update your bank details at any time from your account settings; corrections take effect for future payouts.
  • Optional at onboarding. You may complete payout setup (bank details and tax declaration) at signup or skip it and come back later. Earnings continue to accumulate in your account. No payout is initiated until you complete payout setup; once you do, your first run includes all backdated earnings. Your dashboard will display a reminder until you do.
  • Failed transfers. If a transfer is rejected by your bank (e.g. incorrect IBAN/account number, account closed, name mismatch with your bank record, sanctions screening hit), Diraasa will hold the funds and email you to update your bank details. Once updated, the funds will be sent on the next payout run.
  • Tax. You are solely responsible for declaring and paying any taxes in your country of tax residence. Diraasa does not withhold income tax on Wise-rail payouts (since the income is not US-source income for non-US persons). For information only and not as tax advice, examples of obligations you may have include: PSEB / FBR filings in Pakistan; Form 15CA/15CB and PAN-linked KYC in India; declaration of foreign earnings under Egyptian Tax Law 91/2005 in Egypt (no PSEB equivalent applies); and any local GST or service-tax thresholds in your jurisdiction (for example, the ₹20 lakh export-of-services GST threshold in India, which requires a Letter of Undertaking to remain zero-rated). These are your obligations, not Diraasa’s. Consult a qualified tax adviser in your jurisdiction.
  • Sanctions screening. As a US business, Diraasa is required to screen payouts against the US Treasury’s OFAC SDN list. We may delay or withhold any payout that triggers a screening review until the review is complete; we may decline to pay any account that matches a sanctioned party, subject to a reasonable review of the match.
  • Purpose code (for teachers in India). When your bank asks the purpose of the inward remittance, tell them: payment for professional / educational services rendered abroad (RBI purpose code P0802 or P1006). Diraasa cannot resolve this on your behalf.
  • Withholding for disputes. Diraasa reserves the right to withhold or claw back payouts for chargebacks, refunds, safeguarding investigations, or violations of this Agreement, per Sections 6, 8, and 9.

7. Insurance and indemnification

As an independent contractor, you are responsible for any insurance you wish to carry for your own protection. Diraasa does not provide professional indemnity insurance to Teachers.

You agree to indemnify, defend, and hold harmless Diraasa and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your conduct as a Teacher, your breach of this Agreement or any Diraasa policy, any claim by a tax authority that you should have been treated as an employee of Diraasa, and any claim by a third party that your materials infringe their intellectual property.

8. Suspension and termination

You may end your relationship with Diraasa at any time by deactivating your Teacher account. You agree to honor any classes already booked unless cancellation is mutually agreed.

We may suspend or terminate your Teacher account immediately for violation of any Diraasa policy, behavior that endangers a student or child, misrepresentation of identity or qualifications, repeated cancellations or no-shows or low ratings, circumvention of the platform, failure to comply with identity re-verification, a request from law enforcement, or conduct that exposes Diraasa to legal, regulatory, or reputational risk.

On termination: all upcoming classes are cancelled and refunded; pending payouts may be withheld pending dispute resolution (and are forfeited for safeguarding violations or circumvention); the non-circumvention obligations in Section 4 continue for 12 months; the IP license in Section 5 ends, except for retention required by law.

9. Dispute resolution

This Agreement is governed by the laws of the State of Texas. Disputes are resolved by binding arbitration in Travis County, Texas under the Commercial Arbitration Rules of the American Arbitration Association, except for claims for injunctive relief related to anti-circumvention or intellectual property, which may be brought in the state and federal courts located in Travis County, Texas. You and Diraasa each waive the right to bring or participate in any class, collective, or representative action.

10. Acknowledgement

By accepting this Agreement, you acknowledge that you have read it, understood it, and had the opportunity to consult with a tax adviser or attorney of your own choice before accepting. You acknowledge specifically that you are an independent contractor and not an employee of Diraasa, and that the classification is correct under the applicable common law and statutory tests.
